Company and segregation
Multi-fund SICAV
The Company is a collective investment scheme organised as a multi-fund public limited liability company with variable share capital under the Companies Act (Chapter 386 of the laws of Malta). Its share capital is divided into Founder Shares and non-voting participating Investor Shares issued in respect of each sub-fund.
Segregated patrimony
The Sub-Fund constitutes a segregated portfolio, with its assets and liabilities maintained as a patrimony distinct from the assets and liabilities of any other sub-fund and of the Company itself.
Dealing
Subscriptions, valuation and redemption
Subscription day
The first business day of every month, and such other days as the Directors may determine. During the Initial Offer Period, applications are issued at the Initial Offering Price of USD 100.
Valuation day
The last business day of each calendar month, save for December where the valuation day is 31 December irrespective of whether it is a business day. The Directors may designate ad hoc valuation days.
Redemption
Redemption requests are irrevocable once submitted. Proceeds are paid as soon as practicable following the final NAV calculation, typically within 30 days.
Offering
Initial offer and closing
Up to ten million (10,000,000) Class A USD Investor Shares with no nominal value are on offer. The offering at the Initial Offering Price opens on the date the Sub-Fund is included in the MFSA's List of Notified PIFs and closes on the Closing Date, being three months after that inclusion or such earlier or later date as the Directors may determine in their absolute discretion.
Following the close of the Initial Offering Period, Investor Shares are offered at the Offering Price applicable on the relevant Subscription Day. The investment activities of the Sub-Fund commence after the Closing Date.
The Class A Investor Shares are accumulating: income generated is reinvested. The Directors nevertheless reserve the right to pay dividends where they consider it appropriate. The NAV of the Sub-Fund and the NAV per Share are available from the Administrator.
