Regulatory notice

Notified Professional Investor Fund

Argus Investment Partners SICAV p.l.c. is a third-party managed Notified PIF under the Investment Services Act (Notified CISs) Regulations. Notified PIFs, and sub-funds within existing NPIFs, are not licensed by the MFSA. Notified PIFs are required to adhere to the supervisory conditions stipulated in those regulations and in the Investment Services Rules for Notified Professional Investor Funds and related Due Diligence Service Providers.

Notified PIFs are non-retail schemes available to investors qualifying as Qualifying Investors and/or Professional Investors. The protection normally arising as a result of the imposition of the MFSA's investment and borrowing restrictions and other requirements for retail schemes does not apply.

The content of this website, the offering documents and any other marketing documentation has not been approved or reviewed by the MFSA, and the ultimate responsibility for its content lies with the Notified PIF. NPIFs are riskier funds by nature in view of the less onerous regulatory requirements that apply and are subject to the minimum level of supervision for a fund in Malta. The MFSA may remove an NPIF from the Register of NPIFs at any time.

Investors in NPIFs are not protected by any statutory compensation arrangements in the event of the fund's failure. The MFSA has made no assessment or value judgment on the soundness of the fund or on the accuracy or completeness of statements made or opinions expressed with regard to it.

Strategy risk

Losses may arise from concentration in similar investments or general economic events. Policies may change materially over time and there is no assurance any strategy will succeed.

Short-selling risk

Potential loss on a short position is unlimited. Positions may be subject to short squeezes, margin calls, buy-in requirements or regulatory restrictions.

Model and artificial intelligence risk

Models may contain errors, rest on incorrect assumptions or rely on incomplete data. Models calibrated on historical data may fail in changed market conditions, and discretionary overrides may not improve outcomes.

Counterparty and margin risk

The Sub-Fund is exposed to the credit risk of brokers and derivative counterparties. Adverse market movements may trigger margin calls at short notice.

Valuation risk

Independent pricing may be unavailable for certain investments; valuations may involve judgment and differing interpretations of value.

Liquidity risk

Market liquidity is not guaranteed and may deteriorate in stressed markets, affecting the ability to implement or unwind positions and the timing of redemption payments.

Concentration and volatility

High-conviction positions may amplify the effect of price movements on the Net Asset Value.

Leverage risk

Borrowing and derivative exposure magnify both gains and losses.

Exchange rate risk

Investments denominated in currencies other than the US Dollar are exposed to currency fluctuations.

Limited transferability

Investor Shares are not listed on any exchange and transferability is restricted.

Naming

Company name

Argus Investment Partners SICAV p.l.c. trades and presents itself under that name. The Company is constituted and referred to in its constitutional and offering documents as Argus Investment Partners SICAV p.l.c. References to Argus Capital in the offering documents should be read as references to Argus Investment Partners, and vice versa.
